By using the iPower® website, you are bound by the Terms and Conditions here. This agreement is between you and us. There are no third-party beneficiaries to this Agreement. The functions/services related to the iPower® Site are proprietary services operated and maintained by Integrated Power Corporation. This Agreement contains the Terms and Conditions on which Integrated Power is willing to permit your use of the iPower® Site and you must accept these terms and conditions for use of the Site. If you do not agree with these terms and conditions, you should exit the iPower® Site now and not use the iPower® Site in the future. 1. Users
You have sole responsibility for your conduct and transmissions, and you are responsible for maintaining the confidentiality of your password and account. You are responsible for all activities that occur in connection with your account as well as any activities that result from access to or use of the iPower® Site using your password/passphrase or account. You agree that Integrated Power Corporation cannot be liable for any dispute that arises between you and any other user. You agree to notify Integrated Power Corporation of any unauthorized use of your password or account or security breach, and give Integrated Power Corporation the right to access your account as deemed necessary to investigate any complaints or fraudulent activity, and to maintain the iPower® Site as necessary. The iPower® Site may be used by you as an individual or as a company representative. You must be of the age of majority who can form legally binding contracts under applicable law. Using the iPower® Site implies you are of that age. All information provided by you about yourself must be true. You are solely responsible for any and all information that you transmit using the site. Integrated Power Corporation reserves the right to offer non-personally identifiable information regarding you to third parties and any information required by law or government authorities. 2. Intellectual Property Rights
The iPower® Site contains trademarks, copyrights and proprietary information and materials. All materials are owned or licensed by Integrated Power Corporation. Everything on the iPower® Site is copyrighted and you agree not to publish, modify, sell, transmit, remove or exploit any of such materials without the express written permission of Integrated Power Corporation. 3. Prohibited Use
By accessing the iPower® Site, you agree not use the iPower® Site in any way that is prohibited by law or regulation, to invade individuals’ privacy or rights, or to transmit any unlawful, fraudulent, objectionable materials or create opportunity for civil liability. You will not violate the security of the iPower® Site, intentionally or otherwise, impersonate iPower®employees or create any unreasonable burden on Integrated Power or its Site. You will not steal, transfer or resell any information, any system or any data from the iPower® Site. Exporting any information from the iPower® Site is subject to all US Export Control laws and cannot be downloaded or exported away in violation of these laws. 4. Indemnifications & No Warranties
Integrated Power Corporation may change the iPower® Site at any time without notice, and offers no guarantees that the Site will be operational at all times or be error free or free of harmful components. We are not responsible for any damages or injuries connected with the use of, loss of use of or inability to use the iPower® Site, or if keys are lost for any reason. Integrated Power is not responsible or liable for any product acquired or requested using the iPower® Site, and we cannot guarantee any specific results from use of this Site. You agree to accept the iPower® Site as is and to use it at your sole risk. Integrated Power disclaims all representations, warranties, and guarantees, expressed or implied, including without limitation warranties of merchantability or fitness for particular purpose. You agree that Integrated Power will have no liability for injuries or damages of any kind whatsoever. We would not maintain the iPower® Site without these limitations of liability in effect. You agree that Integrated Power Corporation, its officers and employees will not be held responsible for any third party claim, demand or damage including reasonable attorneys’ fees arising from your use of the iPower® Site. 5. Rights to Amend
Integrated Power Corporation maintains the right to amend these Terms and Conditions/User Agreement at any time by posting the amended version on this Site. Your use of the Site will indicate acceptance of revised Terms and Conditions/User Agreement. 6. Governing Jurisdiction
Your use of the iPower® Site will be governed by the State of California. User agrees that all claims and disputes arising out of these Terms and Conditions/User Agreement or use of the iPower® Site shall be submitted to and resolved by binding arbitration in the city of Novato and the State of California, under the rules of the American Arbitration Association, and will not be consolidated with any other claim or controversy. Either user or Integrated Power Corporation may seek any interim or preliminary relief from a court of competent jurisdiction necessary to protect the rights or property of user or Integrated Power pending the completion of arbitration. 7. Agreement in Entirety
These Terms and Conditions/User Agreement constitute the entire understanding between you and Integrated Power Corporation with respect to your rights and obligations as user of the iPower® Site. If any part of this Agreement is held to be invalid or unenforceable, that part shall be struck and the remaining provisions deemed valid and enforceable. The failure of Integrated Power to enforce any part of this Agreement is not a waiver of any provision or right. 8. Third Party Sites
Links in the iPower® Site are provided strictly for your convenience and not an endorsement of that site or its content. Links may allow you to leave the iPower® Site and visit third party sites which are not under the control of Integrated Power Corporation, and Integrated Power will not be responsible for the contents of any third party site or its functionality. Any third party advertising promotions are strictly between user and the third party, and Integrated Power Corporation holds no responsibility whatsoever to any dealings thereof.
